Terms of Service

1. Using Spotlight

Spotlight is available to businesses by invitation. By using it you confirm that you are authorised to bind your business to these terms and that you are at least 18 years old. Spotlight is not offered to businesses established in the European Union.

2. The service

Spotlight helps you plan, publish and monitor ads on Meta’s platforms, manage conversations from Messenger, Instagram and WhatsApp in one inbox, and track spend. We may improve or change features, and we will give notice of material reductions.

3. Accounts and team

You are responsible for the people you invite, the roles you give them and everything done through your account. Keep sign-in credentials secure and tell us promptly about any unauthorised use.

4. Your Meta accounts

• You own, or are authorised to manage, every Page, Instagram account, ad account and WhatsApp Business account you connect.
• You authorise Spotlight to act on them within the permissions you grant. You can revoke access at any time.
• You remain bound by Meta’s terms and policies for those accounts, including its advertising standards and the WhatsApp and Instagram terms, and you are responsible for complying with them.
• Meta bills your ad spend to you directly. We do not hold or transfer your funds.

5. Your content and campaigns

You keep ownership of your content. You give us a limited licence to host, process and display it as needed to provide Spotlight. You are responsible for the accuracy and legality of your offers and claims, for licences to the fonts, images and other assets you upload, and for having any consent required to contact people. Spotlight’s policy checks and warnings are aids only; they do not guarantee compliance or approval. Meta decides whether an ad is approved. We do not guarantee any advertising results.

6. AI features

AI suggestions may be inaccurate or incomplete. You decide whether to approve a campaign or send a reply, and you are responsible for content you approve or send.

7. Messaging

You are responsible for having a lawful basis and any required opt-in to contact people, for following each platform’s messaging window and template rules, and for the replies your team sends. Our Privacy Policy explains how we handle customer data on your behalf.

8. Budget controls

Spend caps and automatic budget changes are tools that you configure. Reported figures come from Meta and may differ from Meta’s invoices. You are responsible for your ad spend.

9. Acceptable use

You will not:

• use Spotlight for unlawful, deceptive or discriminatory advertising;
• send spam or unsolicited messages;
• breach Meta’s terms or policies;
• attempt to bypass limits, security or the separation between customers’ data;
• interfere with the service, or resell it without our written agreement.

10. Fees

Fees and commercial terms are agreed separately. Spotlight does not process payments.

11. Our rights

We own Spotlight, including its software, design and documentation. Nothing in these terms transfers those rights to you. If you give us feedback, we may use it freely.

12. Privacy

Our Privacy Policy describes how we handle personal data. To delete data, see Data Deletion.

13. Availability

Spotlight depends on third parties, including Meta. We aim for reliable service but do not guarantee uninterrupted or error-free operation, or that Meta’s platforms will stay available or unchanged. We may suspend access to protect the service, to comply with the law, or if these terms are breached.

14. Disclaimer and limit of liability

Spotlight is provided “as is” and “as available”, without warranties to the extent the law allows. To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost data, or advertising-platform charges or rejections, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim.

15. Indemnity

You will cover our reasonable losses from third-party claims caused by your content, your campaigns, or your breach of these terms or of Meta’s policies.

16. Ending these terms

You may stop using Spotlight at any time. We may suspend or end your access for material breach or where the law requires. When your account is closed, we delete its data as described in the Privacy Policy.

17. Governing law

These terms are governed by the laws of Bangladesh, and the courts of Dhaka have jurisdiction, unless mandatory law provides otherwise.

18. Changes

We may update these terms. We will post the new version here with a new effective date and give you notice of material changes. Continued use after the effective date means you accept the update.
